TERMS OF USE, PLEASE READ THESE TERMS CAREFULLY
BEFORE USING THIS SITE or services/software contents
contained herein.
The iNet Strategy Inc Web site (the "Site"),
including but not limited to www.iNetStrategy.com
and its affiliated sites, provides an online
service resource for our customers and other professionals.
If no separate contract is signed, these terms
constitute the agreement between iNet Strategy, inc
and its remote support customers. They may be changed from time to time and
without further notice. Your continued use of the
Site after any such changes constitutes your
acceptance of the new terms. If you do not agree to
abide by these or any future terms, please do not
use the Site or download materials from it.
iNet Strategy Inc may terminate, change, suspend or
discontinue any aspect of the Site, including the
availability of any features, at any time. iNet
Strategy Inc may remove, modify or otherwise change
any content, including that of third parties, on or
from this Site. iNet Strategy may impose limits on
certain features and services or restrict your
access to parts or all of the Site without notice or
liability. iNet Strategy Inc may terminate your use
of the Site at any time in its sole discretion.
THIS LICENSE AGREEMENT IS A BINDING, CONTRACTUAL
AGREEMENT (THE “AGREEMENT”) BETWEEN YOU (“YOU” OR
“LICENSEE”) AND iNet Strategy Inc. (“LICENSOR/INS”).
THE WEBSITE OR SOFTWARE PRODUCT (AS DEFINED BELOW)
MAY CONTAIN CERTAIN COMPUTER PROGRAMS,
DOCUMENTATION, OR OTHER PROPRIETARY MATERIALS THAT
BELONG TO LICENSOR AND/OR ITS SUPPLIERS. YOUR USE OF
THE SITE ITS TOOLS OR SOFTWARE PRODUCT IS SUBJECT TO
YOUR ACCEPTANCE OF THE TERMS AND CONDITIONS OF THIS
AGREEMENT.
PLEASE READ THIS AGREEMENT CAREFULLY. BY INSTALLING
OR USING THE SOFTWARE PRODUCT, YOU ACKNOWLEDGE THAT
YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND
AGREE TO BE BOUND BY IT. IF YOU DO NOT AGREE TO ANY
OF THE TERMS BELOW, YOU SHOULD NOT INSTALL OR USE
THE SOFTWARE PRODUCT. IF YOU ARE PROCURING THIS
LICENSE ON BEHALF OF AN ENTITY OR ORGANIZATION, YOU
REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO
ENTER INTO THIS AGREEMENT ON BEHALF OF SUCH ENTITY
OR ORGANIZATION.
IN ADDITION TO THE LICENSING TERMS ON
INETSTRATEGY.COM, BY INSTALLING OR OTHERWISE USING
ANY SOFTWARE PRODUCT THAT YOU RECEIVE FROM
INETSTRATEGY.COM, YOU AGREE TO ANY ADDITIONAL
LICENSE TERMS THAT OUR SOFTWARE LICENSES MAY
CONTAIN. IF YOU DO NOT AGREE TO SUCH ADDITIONAL
LICENSE TERMS, DO NOT INSTALL OR USE SUCH SOFTWARE.
The term “Software Product” means all copies of this
computer program which you are accessing,
installing, using, downloading, copying, or
otherwise benefiting from, and any updates, modified
versions, upgrades, updates, additions, and copies
of such software, all of the foregoing in any format
including, but not limited to, the format of a
temporary plug-in, and all documentation provided to
you related to any of the foregoing.
These terms apply exclusively to your access to and
use of the Site and do not alter the terms or
conditions of any other agreement you may have with
iNet Strategy Inc or its parents, subsidiaries or
affiliates.

1. Proprietary Rights.
Copyrights. All content on this Site, including but
not limited to design, text, software, technical
drawings, configurations, graphics, other files, and
their selection and arrangement ("Content"), are
either Copyright © 2009 iNet Strategy Inc, or are
the proprietary property of iNet Strategy Inc its
affiliates or licensors. All rights reserved. The
Content may not be modified, copied, distributed,
framed, reproduced, republished, downloaded,
displayed, posted, transmitted, or sold in any form
or by any means, in whole or in part, without iNet
Strategy Inc prior written permission, except that
you may download and print content for uses that are
not competitive with or derogatory to iNet Strategy
Inc, provided that you keep all copyright or other
proprietary notices intact. Please note that this
limited consent may be revoked at any time and does
not include consent to republish Content on any
Internet, Intranet or Extranet site or to
incorporate the information in any other database or
compilation. Any other use of the Content is
strictly prohibited. You further agree that you will
not systematically extract, collect or harvest,
through electronic means or otherwise, any data or

button icons, and scripts are service marks,
trademarks and/or trade dress of iNet Strategy Inc
or its affiliates, and may not be copied, imitated,
or used, in whole or in part, without the prior
written permission of iNet Strategy Inc. Other
trademarks, registered trademarks, product names,
and company names or logos displayed on the Site are
the property of their respective owners.
Patents. iNet Strategy Inc products and processes
are covered by one or more patents and are subject
to other trade secret and proprietary rights. iNet
Strategy Inc reserves all such rights. No transfer
or grant of rights under any patents is made or is
to be implied by any provision of this Terms of Use.
You agree not to infringe upon such rights or
decompile, reverse engineer, or disassemble any of
iNet Strategy Inc products or processes.
Software. Any software, including any files, images
generated by the software, code, and data
accompanying the software (collectively,
"Software"), used or accessible through this Site
may be used by you solely for accessing and using
this Site for purposes expressly stated on the Site,
provided that such uses are not competitive with or
derogatory to iNet Strategy Inc. iNet Strategy Inc
retains full and complete title to and all
intellectual property rights in the Software. You
agree not to copy, distribute, sell, modify,
decompile, reverse engineer, disassemble or create
derivative works from any Software.
2. User Conduct - General.
In using this Site, you agree:
(a) not to disrupt or interfere with the security
of, or otherwise abuse, the Site, or any services,
system resources, accounts, servers or networks
connected to or accessible through the Site or
affiliated or linked Web sites;
(b) not to disrupt or interfere with any other
user's enjoyment of the Site or affiliated or linked
Web sites;
(c) not to upload, post, or otherwise transmit
through or on this Site any viruses or other
harmful, disruptive or destructive files;
(d) not to use or attempt to use another's account,
service or system without authorization from iNet
Strategy Inc, or create or use a false identity on
this Site;
(e) not to transmit through or on this Site spam,
chain letters, junk mail or any other type of
unsolicited mass email to people or entities who
have not agreed to be part of such mailings;
(f) not to divulge your username and password to
others either on or off the Site;
(g) not to attempt to obtain unauthorized access to
the Site or portions of the Site which are
restricted from general access; and,
(h) not use this Site to seek, provide or obtain
specific IT advice, HIT medical opinion, diagnosis
or treatment as applied to a patients particular
condition or situation.
In addition, you agree that you are
responsible for actions and communications
undertaken or transmitted under your account, and
that you will comply with all applicable local,
state, national and international laws and
regulations, including but not limited to United
States export restrictions, that relate to your use
of or activities on this Site. This Site is
controlled and operated in the United States. If you
are in a jurisdiction which restricts you from
accessing this Site, do not access or use this Site.
iNet Strategy Inc makes no representation that the
Site is appropriate or available for use outside the
United States.
3. User Conduct - Online
Communities and Other Interactive Areas.
The Site may contain areas where you may post and
share comments with other Site users on a variety of
subjects. You agree that you will not post or
otherwise disseminate on or through the Site
unlawful, harassing, libelous, tortious, abusive,
offensive, threatening, or obscene communications or
material of any kind, or materials which infringe or
violate any third party's copyright, trademark,
trade secret, privacy or other proprietary or
property right, or that could constitute a criminal
offense, give rise to civil liability or otherwise
violate any applicable law or regulation; or, that
are otherwise objectionable, including without
limitation, content that evidences bigotry, racism,
sexism, or hatred, or that promotes illegal
activities, including without limitation
unauthorized uses of medical devices, or physical
harm against anyone. iNet Strategy Inc reserves the
right but not the obligation to remove any materials
it deems objectionable, in its sole discretion and
without any reference to you. You agree to hold
harmless iNet Strategy Inc and its affiliates and
parties with whom iNet Strategy Inc has contracted
for purposes of hosting or maintaining this Site
from all claims based upon communications made or
materials posted by others or the use by third
parties of this Site.
You expressly agree that you will not discuss or
refer to any particular patient, any particular
patient's medical condition or any other information
which could identify a particular patient You
further expressly agree that you will not discuss,
endorse or refer to "off label" uses of medical
products, including any uses which have not been
approved by the U.S. Food and Drug Administration or
other applicable regulatory agency.
4. Online Communications On
and Through the Site.
Except as otherwise provided in section 5 below, you
agree that any communications you transmit to anyone
through the Site or copyrighted works you post on
the Site, including, without limitation, questions,
comments, suggestions, ideas, plans, notes,
drawings, configurations, specifications, purchase
orders, quotes or requests for quotes, performance
data, account information, or other material, data
or information (collectively, "Information"), are
non-confidential and upon transmission of such
Information to iNet Strategy Inc via email or other
means you grant to iNet Strategy Inc an irrevocable,
non-exclusive, royalty-free, sublicensable, world
wide license (including but not limited to a
copyright license) to use such Information in any
media for any purpose.
5. Privacy Policy.
You acknowledge and agree that iNet Strategy Inc may
use the data collected in the course of our
relationship for the purposes identified in our
Privacy Policy, which is incorporated by reference
as if fully set forth in these Terms of Use.
6. iNet Strategy Inc Content,
Product and Service Information - Limitations.
All content available through the Site, including
but not limited to data, technical drawings,
configurations, quote and order information, and
catalog listings is believed to be accurate.
However, you should independently evaluate the
accuracy of the information and the usefulness for
your particular needs of any content, product or
service available through the Site. Specifications
for products and services are subject to change
without notice, and iNet Strategy Inc reserves the
right to make changes without notice to processing,
materials, or configuration. iNet Strategy Inc does
not guarantee that products or services listed in
its online catalog will be available at the time of
your order. All information on the Site is subject
to the disclaimers of section 8 below.

this home page of the Site full-screen and not
within a "frame" on the linked Web site, and
(4) the appearance, position, and other aspects of

create the false appearance that an entity or its
activities or products are associated with or

be such as to damage or dilute the goodwill
associated with the name and trademarks of iNet

EXPRESSLY AGREE THAT USE OF THIS SITE AND/OR ITS
CONTENT IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO
APPLICABLE LAW, iNet Strategy Inc AND ITS AFFILIATES
DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS
OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY
WARRANTY OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE OR NON-INFRINGEMENT.
YOU EXPRESSLY AGREE THAT USE OF THIS SITE, INCLUDING
ALL CONTENT, DATA OR SOFTWARE DISTRIBUTED BY,
DOWNLOADED OR ACCESSED FROM OR THROUGH THE SITE, IS

INS will provide Information Technology Services
(“IT Services”) as set forth in the descriptions on
inetstraegy.com. If
Client believes that INS has failed to provide the
IT Services as described or are otherwise in
material breach of this Agreement, Client agrees to
notify INS in writing of Client’s concerns in this
regard. INS
will then correct any material breach within 60 days
at no additional cost to Client.
YOU ACKNOWLEDGE THAT iNet Strategy Inc DOES NOT
CONTROL INFORMATION, PRODUCTS OR SERVICES OFFERED BY
THIRD PARTIES THROUGH THE SITE. EXCEPT AS OTHERWISE
AGREED IN WRITING, iNet Strategy Inc AND ITS
AFFILIATES ASSUME NO RESPONSIBILITY FOR AND MAKE NO
WARRANTY OR REPRESENTATION AS TO THE ACCURACY,
CURRENCY, COMPLETENESS, RELIABILITY OR USEFULNESS OF
ANY ADVICE, OPINION, STATEMENT OR OTHER CONTENT OR
OF ANY PRODUCTS OR SERVICES DISTRIBUTED OR MADE
AVAILABLE BY THIRD PARTIES THROUGH THE SITE. iNet
Strategy Inc DOES NOT MAKE ANY WARRANTY THAT THIS

HEREIN, iNet Strategy Inc DISCLAIMS ANY WARRANTY OR
REPRESENTATION THAT CONFIDENTIALITY OF INFORMATION
TRANSMITTED THROUGH THE SITE WILL BE MAINTAINED. NO
ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN,
OBTAINED BY YOU FROM iNet Strategy Inc OR THROUGH
THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY
STATED IN WRITING. SOME STATES DO NOT ALLOW THE
LIMITATION OR EXCLUSION OF CERTAIN WARRANTIES OR

INS warrants and represents that the IT Services
will be performed in a skillful and workmanlike
manner according to those industry standards
generally prevailing among consultants performing
similar services under similar circumstances.
To the extent that INS is not the
manufacturer of any hardware or software products
that Client may purchased hereunder from us as a
result of or relating to the IT Services (“Third
Party Products”), such Third Party Products shall be
provided by INS “as-is,” and INS makes no
warranties, express or implied, on such Third Party
Products, whether with respect to design,
performance, functionality, compatibility with
Client’s existing system, or otherwise; warranties,
if any, on Third Party Products shall be between
Client and the manufacturer of the Third Party
Products.
EXCEPT FOR THE EXPRESS WARRANTIES STATED HEREIN, INS
DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES WITH
REGARD TO THE SERVICES PROVIDED HEREUNDER, INCLUDING
WITHOUT LIMITATION THE IMPLIED WARRANTIES OF
NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE.
9. Limitation of Liability.
UNDER NO CIRCUMSTANCES, INCLUDING, WITHOUT
LIMITATION, NEGLIGENCE, SHALL iNet Strategy Inc OR
ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS,
DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE
FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR
CONSEQUENTIAL DAMAGES ARISING FROM OR IN CONNECTION
WITH THE USE OF OR THE INABILITY TO USE THIS SITE OR
ANY CONTENT CONTAINED ON THE SITE, OR RESULTING FROM
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR
TRANSMISSIONS OR DATA, OR OTHER INFORMATION THAT IS
SENT OR RECEIVED OR NOT SENT OR RECEIVED, INCLUDING
BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS,
USE, DATA OR OTHER INTANGIBLES, EVEN IF GE HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE
PARTIES ACKNOWLEDGE THAT THIS IS A REASONABLE
ALLOCATION OF RISK.
Except for indemnified matters, neither party shall
be liable to the other for any special, indirect,
incidental, consequential or punitive damages
arising out of or relating to this Agreement under
any legal theory.
In addition and except for the collection by
INS of fees and expenses (including reasonable
attorney fees), each party’s right to recover direct
damages from the other under this Agreement is
limited to the amount of IT Services fees paid to
INS during the four (4) months preceding the event
or circumstances giving rise to such liability.
This limitation of liability shall be
cumulative and not per incident.
LOSSES OF ANY NATURE, SHALL NOT EXCEED THE CUSTOMER
LICENSE FEE PAID BY DISTRIBUTOR
10. General
Applicable Law. These Terms of Use shall be governed
by and construed in accordance with the laws of the
State of Tennessee, and the federal laws of the
United States of America, without giving effect to
its conflict of laws provisions. You agree to submit
to the personal and exclusive jurisdiction of the
state or federal courts located within the State of
Tennessee.
Other. These terms constitute the entire agreement
between you and iNet Strategy Inc governing your use
of the Site. Should any provision in these terms be
found invalid or unenforceable for any reason, then
that provision shall be deemed severable from the
terms and shall not affect the validity or
enforceability of the remaining provisions. You
agree that any claim arising out of or related to
the terms or your use of the Site must be filed
within one year after it arose or be permanently
barred.
iNet Strategy is committed to protecting your
privacy and developing technology that gives you the
most powerful and safe online experience. This
Statement of Privacy and license agreement applies to the iNet Strategy
web site and software services and governs software
or other services, data collection and usage. By
using the iNet Strategy website, you consent to the
data practices described in this statement.
11. Collection of your
Personal Information
iNet Strategy collects personally identifiable
information, such as your e-mail address, name, home
or work address or telephone number. iNet Strategy
also collects anonymous demographic information,
which is not unique to you.
There is also information about your computer
hardware and software that is automatically
collected by iNet Strategy. This information can
include: your IP address, browser type, domain
names, access times and referring Web site
addresses. This information is used by iNet Strategy
for the operation of the service, to maintain
quality of the service, and to provide general
statistics regarding use of the iNet Strategy web
site.
Please keep in mind that if you directly disclose
personally identifiable information or personally
sensitive data through iNet Strategy public message
boards, this information may be collected and used
by others. Note: iNet Strategy does not read any of
your private online communications.
iNet Strategy encourages you to review the privacy
statements of Web sites you choose to link to from
iNet Strategy so that you can understand how those
Web sites collect, use and share your information.
iNet Strategy is not responsible for the privacy
statements or content on other web sites.
12. Use of your Personal
Information
iNet Strategy collects and uses your personal
information to operate the iNet Strategy web site
and deliver the services you have requested. iNet
Strategy also uses your personally identifiable
information to inform you of other products or
services available from iNet Strategy. iNet Strategy
may also contact you via surveys to conduct research
about your opinion of current services or of
potential new services that may be offered.
iNet Strategy does not sell, rent or lease its
customer lists to third parties. iNet Strategy may,
from time to time, contact you on behalf of external
business partners about a particular offering that
may be of interest to you. In those cases, your
unique personally identifiable information (e-mail,
name, address, telephone number) is not transferred
to the third party. In addition, iNet Strategy may
share data with trusted partners to help us perform
statistical analysis, send you email or postal mail,
provide customer support, or arrange for deliveries.
All such third parties are prohibited from using
your personal information except to provide these
services to iNet Strategy, and they are required to
maintain the confidentiality of your information.
iNet Strategy does not use or disclose sensitive
personal information, such as race, religion, or
political affiliations, without your explicit
consent.
iNet Strategy keeps track of the Web sites and pages
our customers visit within iNet Strategy, in order
to determine what iNet Strategy services are the
most popular. This data is used to deliver
customized content and advertising within iNet
Strategy to customers whose behavior indicates that
they are interested in a particular subject area.
iNet Strategy will disclose your personal
information, without notice, only if required to do
so by law or in the good faith belief that such
action is necessary to: (a) conform to the edicts of
the law or comply with legal process served on iNet
Strategy or the site; (b) protect and defend the
rights or property of iNet Strategy; and, (c) act
under exigent circumstances to protect the personal
safety of users of iNet Strategy, or the public.
12. Use of Cookies
The iNet Strategy web site uses "cookies" to help
you personalize your online experience. A cookie is

Web page server. Cookies cannot be used to run
programs or deliver viruses to your computer.

be read by a web server in the domain that issued

personalize iNet Strategy pages, or register with

13.Security of your Personal
Information
iNet Strategy secures your personal information from
unauthorized access, use or disclosure. iNet
Strategy secures the personally identifiable
information you provide on computer servers in a
controlled, secure environment, protected from
unauthorized access, use or disclosure. When
personal information (such as a credit card number)
is transmitted to other Web sites, it is protected
through the use of encryption, such as the Secure

14.
Assignment
Neither party may assign any rights or obligations
under this Agreement without the others prior
written consent, which consent shall not be
unreasonably withheld, except that either party may
assign its rights and obligations under this
Agreement without the approval of the other to (a)
an entity which owns or acquires all or
substantially all of the assets of the assigning
party, (b) any affiliate, or (c) any successor in a
merger or acquisition of the assigning party.
15.
Payment Terms
Credit Card Verification
In using our services you authorize iNet
Strategy, Inc to verify and subsequently capture
funds on your credit card from Authorize.net. We
will place a temporary authorization of $60 dollars
on the credit card prior to servicing your
computer/server/network. The temporary authorization
will be cancelled and/or replaced by the actual
transaction charge amount after Service work has
been completed.
INS shall invoice Client for Services on a Per
Incident, daily, weekly, monthly, or milestone
basis, as set forth in each engagement depending on
the particular project.
If no terms are specified, then INS shall
bill Client at the time services are rendered or on
the fifteenth (15th) and last day of each
month with a default Net 15 day terms.
If payment is not received is not received
within fifteen (15) days of the invoice date,
interest shall begin to accrue and be payable at the
lesser of the maximum rate permitted under
applicable law or at the rate of one and one-half
percent (1.5%) per month from the date due until
paid in full.
Client agrees to pay any all collection costs
including but not limited to attorneys’ fees, court
costs, and filing fees or any other fees associated
in collecting for services rendered should Client be
in default of payment for any reason.
16. Changes to this Statement
iNet Strategy from time to time will update this
Statement of Privacy and Software License Agreement to reflect company and customer
feedback. iNet Strategy encourages you to
periodically review this Statement to be informed of
how iNet Strategy is protecting your information and
governering the relationship.
17. Refund Policy
You may request a refund for any Consulting fee by
submitting your request to the support technician
within five (5) minutes from the start of your
support call. All reasonable refund requests will be
considered.
18. Release and Waiver
To the maximum extent permitted by applicable law,
you hereby release, and waive all claims against
iNet Strategy, Inc and its employees, agents,
directors and owners from any and all liability for
claims, damages (actual and consequential), costs
and expenses (including litigation costs and
attorneys' fees) of every kind and nature, arising
out of or in any way connected with use of our
Services.
